Terms of Service

1. Agreement to Terms

By accessing agentus-dai.com or engaging our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our site or services. These terms are governed by the laws of England and Wales.

2. Services

Agentus DAI provides AI automation, consulting, and related services as described on this website. Specific terms for each project are agreed in writing before work commences via a Statement of Work (SOW) or service agreement.

3. Payment Terms

• All prices are quoted in British Pounds (GBP) and are exclusive of VAT where applicable
• Payment for project work is required 50% upfront, 50% on completion, unless otherwise agreed
• Invoices are payable within 14 days of issue
• Late payments may incur interest at 8% above the Bank of England base rate

4. Deliverables and Acceptance

Upon delivery of work, you have 7 working days to review and raise any issues. If no issues are raised within this period, the work is deemed accepted. Our bug-fix guarantee covers defects in our implementation — it does not cover changes to requirements after delivery.

5. Intellectual Property

Upon full payment, you own all deliverables we create for you. We retain the right to use anonymised descriptions of the work in our portfolio. Any pre-existing IP or third-party tools used remain under their respective licences.

6. Confidentiality

We treat all client information as confidential. We will not disclose your business information, data, or project details to any third party without your consent, except as required by law. We are happy to sign NDAs on request.

7. Limitation of Liability

Our total liability in connection with any project is limited to the fees paid for that project. We are not liable for indirect, consequential, or incidental damages arising from our services. AI systems are probabilistic and we make no guarantees of specific outcomes.

8. Website Use

You may use this website for lawful purposes only. You must not use it in any way that is unlawful, harmful, or fraudulent, or to transmit unsolicited communications. We reserve the right to restrict access at our discretion.

9. Third-Party Links

Our website may contain links to third-party websites. We have no control over and accept no responsibility for the content of third-party sites. Links do not constitute endorsement.

10. Termination

Either party may terminate a project engagement with 14 days written notice. Work completed and expenses incurred to the point of termination will be charged and payable. We reserve the right to terminate engagements immediately for non-payment or breach of these terms.

11. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
